Virginia Entity Type Information
Domestic Corporation
To incorporate a domestic corporation in Virginia, you need to complete and file the Articles of Incorporation of a Virginia Stock Corporation. The two options for submission are to mail your filing to the Clerk of the State Corporation Commission (in PDF format) or file online for immediate filing. The processing time is 3-7 business days for standard filing via mail with online payment of required fees.
The filing fee is $25, with an additional Charter Fee based upon the number of authorized shares of stock. For 1,000,000 or fewer authorized shares - $50 for each 25,000 shares or fraction thereof; more than 1,000,000 shares - $2,500. For more information consult the Charter Fee / Entrance Fee Schedule.
Same day expedited filing service is an additional $200 and next day filing service is an additional $100. Expedited options are only for paper and PDF submissions. Routine filing time for paper submission generally takes 3 - 12 business days.

Foreign Business Corporation
To transact business in Virginia as a Foreign Corporation, you need to file the Application for a Certificate of Authority to Transact Business in Virginia as a Foreign Corporation. A certified copy from the state of incorporation is required (an authenticated copy of your corporation's articles of incorporation including all amendments). The certified copy must be dated within the past 12 months prior to the Virginia filing. The application and original certified copy of articles can be mailed to the Clerk of the State Corporation Commission.
